VPS-Server.host Affiliate Program

Welcome to the VPS-Server.host Affiliate Program (the "Program"). We are excited to partner with you. This agreement (the "Agreement") describes the terms and conditions for participation in our Program. The terms "we," "us," and "our" refer to VPS-Server.host, and "you," "your," and "affiliate" refer to the Program participant.

By applying to and participating in our Program, you agree to comply with and be bound by all the terms and conditions of this Agreement.

1. Enrollment and Eligibility

To enroll in the Program, you must complete the affiliate application form on our website. We reserve the right to approve or reject any application at our sole discretion. We may reject applications if we determine that your website or promotional methods are unsuitable for our Program, including those that:

• Promote sexually explicit materials.
• Promote violence, discrimination, or illegal activities.
• Infringe on our or any third party's intellectual property rights.
• Are otherwise in violation of our Acceptable Use Policy.

2. Commission Structure

We offer a two-tier commission structure designed to reward our partners for driving new, long-term customers.

a. Standard Tier:

• One-Time Bonus: You will receive a $10.00 USD one-time bonus for each Qualified Referral.
• Recurring Commission: You will receive a 10% recurring commission on all subsequent hosting service payments made by the Qualified Referral for the lifetime of their active account, subject to the terms in this Agreement.

b. Pro Tier:

• An affiliate who generates twenty-one (21) or more new Qualified Referrals within a single calendar month will be automatically promoted to the Pro Tier.
• Pro Tier Commission: Starting with the 21st referral in that month and for all subsequent referrals thereafter, you will receive a 15% recurring commission on all hosting service payments made by those referrals for the lifetime of their active accounts, subject to the terms in this Agreement.
• Bonus for Pro Tier: The $10.00 one-time bonus still applies to all referrals, including those under the Pro Tier.
• Maintaining Pro Status: Once an affiliate achieves Pro Tier status, the 15% commission rate will apply to all new referrals as long as the affiliate maintains an average of at least 15 new Qualified Referrals per month over a rolling three-month period.

c. Exclusions:

Commissions are earned on hosting services only. No commissions will be paid on domain registrations, SSL certificates, software licenses, or other add-on services.

d. Cessation of Lifetime Commissions (Exit Clause):

The "lifetime" recurring commission is contingent upon the Affiliate remaining an active partner in good standing. Lifetime commissions for all of an Affiliate's referrals shall cease under the following conditions:

• Account Termination: Upon the termination of the Affiliate's account, either by the Affiliate or by the Company for a breach of this Agreement.
• Affiliate Inactivity: If the Affiliate's account generates zero (0) new clicks through the Affiliate Link for a continuous period of twelve (12) months, the account may be deemed inactive and future recurring commissions may cease.
• Program Termination: If the Company terminates the Affiliate Program entirely. In such an event, the Company will provide ninety (90) days' notice, and commissions will be paid for a final period of twelve (12) months following the program termination date.

3. Definition of a Qualified Referral

A "Qualified Referral" is a new customer who meets all the following criteria:

1. The customer clicks through your unique affiliate tracking link to our website.
2. The customer successfully completes the purchase of a VPS hosting plan.
3. The customer is a new customer who has not previously held an account with VPS-Server.host.
4. The customer's account remains active, in good standing, and fully paid for a minimum of ninety (90) consecutive days following the date of purchase.
5. The customer's purchase is not the result of a self-referral.

4. Commission Validation and Payouts

a. Validation Period:

• The $10 one-time bonus and the initial recurring commissions for a Qualified Referral will be held in a "pending" state for ninety (90) days from the referral's purchase date.
• After 90 days, if the referral's account remains active and has not been refunded, the commissions will be validated and moved to your approved balance.

b. Clawback & Reversal Period:

• We reserve the right to reverse and "claw back" any commissions paid, for a period of six (6) months from the date of the referral's purchase, in the event of a payment chargeback or if the referral is later determined to be fraudulent.
• Commissions will be reversed for any referrals who violate our Terms of Service or for any purchases that are refunded for any reason.

c. Payouts:

• Minimum Payout Threshold: You must have a minimum approved commission balance of $50.00 USD to be eligible for a payout.
• Payment Schedule: Payouts are processed on the 15th of each month for the approved commission balance from the previous month.
• Payment Method: All payments will be made via PayPal or Wise. It is your responsibility to maintain an active account and ensure your payment information is accurate.

5. Affiliate Responsibilities and Restrictions

As an affiliate, you agree to the following terms:

a. Promotion:

• You will not use unsolicited email (spam), blackhat SEO techniques, or any other illegal or unethical marketing methods to promote our services.
• You will not bid on our brand name, trademarks, or any variations thereof (e.g., "VPS-Server.host," "VPS Server Host coupons") in any pay-per-click (PPC) advertising network, including Google Ads.
• You will not create websites, social media profiles, or any other online presence that could be reasonably interpreted as being the official VPS-Server.host site or brand.

b. Disclosure:

You must clearly and conspicuously disclose your affiliate relationship with us on your website and in all promotional materials, in accordance with Federal Trade Commission (FTC) guidelines and any other applicable laws. Your disclosure should state that you earn a commission for referrals.

c. Self-Referrals:

You are strictly prohibited from using your own affiliate link to purchase services for yourself, your company, or any related entity. Such actions will result in the forfeiture of all commissions and potential termination from the Program.

6. Term of the Agreement and Termination

The term of this Agreement will begin upon our acceptance of your affiliate application and will end when terminated by either party. You or we may terminate this Agreement at any time, with or without cause, by giving the other party written notice.

Upon termination, you must immediately cease using and remove all of our logos, banners, and affiliate links from your site. You will be eligible to receive any approved, unpaid commissions earned prior to the termination date, provided you have met the minimum payout threshold.

We reserve the right to terminate your account and void all commissions if you are found to be in violation of any term of this Agreement.

7. Modification

We may modify any of the terms and conditions in this Agreement at any time at our sole discretion. We will notify you of any changes via email. If any modification is unacceptable to you, your only recourse is to terminate this Agreement. Your continued participation in the Program following the notification of a change will indicate your agreement to the modifications.

8. Limitation of Liability

We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages.

By applying to the VPS-Server.host Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.
