Terms of Service

1. Definitions
"Company," "we," "our," "us": Refers to VPS-SERVER HOST.
"Customer," "you," "your": Refers to the individual or entity who registers for and uses our Services.
"Services": Includes all products and services provided by us, including but not limited to Virtual Private Servers (VPS), Cloud Servers, Dedicated Servers, web hosting, and related technical support.
"Agreement": Refers to these Terms of Service, our Privacy Policy, Acceptable Use Policy (AUP), and Service Level Agreement (SLA), collectively.
"AUP": Refers to the Acceptable Use Policy, the terms of which are incorporated into Section 7 of this Agreement.
"SLA": Refers to the Service Level Agreement which outlines our commitments regarding service availability.
2. Acceptance of Terms
By registering for, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. These terms constitute a binding and enforceable legal contract between the Company and you.
3. Description of Services
The Company provides cloud infrastructure services, including Cloud Servers, VPS Hosting, and related products. The precise scope of services is determined by the specific plan you purchase. We reserve the right to modify or adapt our Services to reflect technical or legal changes, provided such changes do not materially decrease the overall functionality of the purchased Services. We may perform necessary maintenance on our infrastructure with reasonable advance notice where possible.
4. Account Registration & Security
You must provide accurate, current, and complete information during registration. You are solely responsible for all activities that occur under your account.
Canceling your account may result in the permanent loss of data stored within it. We do not accept liability for such loss.
5. Server Administration & Responsibility
For all unmanaged Services, including our VPS and Cloud Server products, you are granted full administrative access. With this access, you bear the sole and exclusive responsibility for the administration, security, and management of your server.
- You are responsible for installing, configuring, and maintaining all software, including security patches and updates.
- You are responsible for implementing adequate security measures to protect your content and data.
- The Company does not have access to your server's administrative password and cannot manage your server unless you provide access for a specific support request.
6. Payment & Billing
All fees are listed on our website and are due in advance for the selected billing cycle. We may adjust pricing at any time, but will provide existing customers with at least thirty (30) days' advance notice of any increase. Unless otherwise specified in a promotional offer or our SLA, all fees are non-refundable.
7. Acceptable Use Policy (AUP)
You agree to use our Services only for lawful purposes and in a manner that does not infringe on the rights of others or inhibit their use and enjoyment of the Services. The following activities are strictly prohibited:
- Illegal Content: Hosting, distributing, or linking to any content that violates applicable law, including but not limited to copyrighted material, child pornography, or content that incites violence.
- Spam & Unsolicited Communication: Sending unsolicited bulk email (spam) or hosting sites advertised via spam.
- Network Abuse: Engaging in activities that disrupt our network or the networks of others, including port scanning, denial-of-service (DoS) attacks, and distribution of malware or viruses.
- Resource Abuse: Using server resources in a way that negatively impacts other customers, such as through resource-intensive scripts or cryptocurrency mining (unless explicitly permitted by your service plan).
- Phishing & Fraud: Hosting phishing websites or engaging in any activity intended to deceive or defraud others.
Violation Handling
If we receive a complaint from a third party regarding a potential violation of this AUP, we will forward the complaint to you. You will be given a reasonable timeframe to respond. Failure to respond, or if the response is unsatisfactory, may lead to us taking action, including content removal or service suspension. For clear and severe violations, we reserve the right to take immediate action without prior notice.

9. Service Level Agreement (SLA)
We strive to maintain high service availability as defined in our SLA. The SLA outlines your sole and exclusive remedy, typically in the form of service credits, for any service interruptions covered by its terms.
10. Intellectual Property
We retain all rights to our brand, software, and Services. You retain all intellectual property rights to the content and data you host on our Services.

You agree to defend, indemnify, and hold harmless the Company from any claims, liabilities, and expenses (including attorneys' fees) arising from your use of the Services or your violation of this Agreement.
13. Termination & Suspension
You may terminate your service at any time through our client area. We may terminate this Agreement with 30 days' advance written notice. We may also suspend or terminate your account immediately and without notice if you breach this Agreement, engage in illegal activities, or fail to pay amounts due.
Grounds for Immediate Suspension
We may suspend access to your account if we believe, in our sole discretion, that: (a) there is a risk to the security of your account or our network; (b) suspension is needed to protect the rights or safety of the Company or the public; (c) you have violated this Agreement; or (d) we are required to do so by law.
14. Governing Law & Dispute Resolution
This Agreement shall be governed by the laws of [Your Country/State]. Any disputes arising from this Agreement will be resolved in the competent courts of [Your City, State/Country].
15. General Provisions
15.1 Entire Agreement
This Agreement constitutes the entire agreement between you and the Company and supersedes all prior agreements.
15.2 Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, or significant network failures.
15.3 Waiver and Assignment
No waiver of any breach of this Agreement will be a waiver of any other breach. You may not assign your rights under this Agreement without our prior written consent, which we will not unreasonably withhold. We may assign our rights and obligations under this Agreement at any time.
